Welcome to today’s Chamberlains Selection, where we will discuss with James d’Apice on the matter of Key Legal Imperatives. This is a longform discussion of the law of Corporation Oppression that I presented for TVED on 21 November 2019. 

The discussion covered: 1. The law of corporate oppression including setting out s232 and s233 of the Corporations Act 2001 (Cth) at considerable lenght; 2. Some fairly detailed examples of corporate oppression (which fans of Coffee and a Case Note might recognise!); and 3. Some practical suggestions which – frankly – boil down to advising your clients to consider promptly getting a shareholders agreement together.
